Live2D commission Terms of Service

DISCLAMER
By commissioning the services of Colza56, you agree to the following Terms of Service between Colza56 (hereinafter referred to as the “Rigger”) and yourself (hereinafter referred to as the “Client”) with respect to the creation of Live2D rigging (hereinafter referred to as the “Work”).

General Terms
The Client agrees to the following
- That they are of legal age and assumes full responsibility for any money exchanged for this service.
- They hold the usage rights to any reference materials or designs provided to Rigger for use to produce the Work.
- They assume responsibility to contact and acquiring any requested materials by Rigger from other parties (Such as the Model Artist) who created the materials provided to Rigger.
- They have read and understood these terms, as well as any terms or policies for the platforms they intend to use Work on.
- Client will receive runtime files to allow usage of the model in Vtube Studio or other Live2D tracking applications. They will NOT receive the source file, and no physical goods will be shipped
- The Rigger reserves the right to refuse or discontinue a commission under abnormal circumstances. Upon the latter the client will be refunded. (Detailed in a later segment)
- Rigger agrees to not claim the creation of the artwork provided for the creation of Work, and that the following terms laid out are for the Live2D Rigging only.
Rigger’s Right to Authorship Credit
- The Rigger reserves the right to feature the Work in their portfolio, including but not limited to any website or social media platform. During the duration of the Live2D model’s usage, authorship credit (Colza56 or social media handle) must be displayed in the Client’s Twitch or YouTube "About" section, on their X (Twitter) profile, or on their official website.
Payment & Fees
- Full payment is required upfront before the commencement of work, once the quote is agreed upon.
- The client agrees to pay the invoice in full via PayPal in US Dollars (USD) within forty-eight (48) hours. If payment is not received, the slot will be relinquished to another client.
Revisions & Post-Delivery Support
- Revision Policy The Rigger shall be given the first opportunity to make any revisions requested by the Client. Two (2) free revisions are included during the production phase. An additional fee will be charged for the third (3rd) revision and any subsequent requests.
- Final Delivery & Error Corrections No revisions will be accepted after final delivery. However, the Rigger will provide free corrections at any time if a technical error or bug caused by the Rigger is discovered in the completed files.
Communication & Deadlines
- Discretionary Progress: If the Client does not respond to a feedback request within seven 7 days, the Rigger reserves the right to proceed with the work at their own discretion.
- Extended Silence & Cancellation: If the Client fails to communicate multiple times, the project will be cancelled without a refund after one (1) month of inactivity.
- Project Resumption: A cancelled project may be resumed at a later date; however, the Client will be moved to the bottom of the work list. Resumption is subject to the Rigger’s availability.
Usage policy
- Grants of right. Upon receipt of full payment, the Rigger grants to the Client Individual Commercial Usage Use Rights, which allows Client to gain revenue through the usage of the model that is NOT reselling, or redistributing the Work. Client agrees to not claim the creation of the Work as their own, and agrees that no version of the Work shall be used as a Non Fungible Token (NFT) or in AI datasets in perpetuity.
- Additional usage. If Client wishes to make additional use of the Work outside of the initial agreement, Client agrees to seek permission from Rigger and make such payments as are agreed to between parties at that time.
- Sharing policy. Rigger reserves the right to publicly stream the rigging process, and post Works in Progress (W.I.P.s) to Rigger’s Social media, unless Client pays a Non disclosure agreement fee (NDA) of +20% of total
- NDA. Upon the payment of NDA fee, Rigger agrees to not disclose the project’s creation verbally, nor stream or post WIPs in a public setting until Client has publicized the finished Work at their discretion.
- Reservation of rights. All rights to the Work done for the Live2D Rig not expressly granted hereunder are reserved to the Rigger, Including but not limited to all rights in mock ups, or other preliminary materials. Rigger will not seek to re-purpose the Work unless the Client breaks the terms listed above.
Cancellation & Refunds
- Cancellation. Once the finished Work has been delivered, under no normal circumstances can refunds be offered to Client. If the Rigger is unable to complete the project, Rigger will offer a refund equal to the work incomplete and the Work completed up until that state, negotiated between Rigger and Client.
- Chargeback policy. Client agrees to not file a chargeback after the Work has been turned in. In the event of a chargeback, the Client loses all rights to any Work created, and Rigger gains the right to full profit from said Work.
Terms of Service Changes.
- Rigger may revise these terms in the future, and past clients will be contacted. By continuing to use Work, Client agrees to be bound to the adjusted terms.
Upon commissioning, a copy of these Terms of Service will be attached to your invoice for future reference.
